Terms of Service
These Terms of Service govern your relationship with Avox Labs, our client portal, software engineering deliverables, and advisory engagements. We prioritize contractual clarity and operational integrity.

1. Studio Engagements & Scope
Avox Labs contracts with founders, enterprises, and institutions to deliver high-quality digital products, user interface systems, and production software. Each custom engagement is governed by an itemized Scope of Work (SOW) or official quote issued through our client portal, specifying project deliverables, acceptance criteria, and project timelines.
2. Invoicing, Payments & Milestone Acceptance
Payment terms are defined in individual quotes and commercial invoices. Unless explicitly agreed otherwise in writing:
- Projects begin upon receipt of the initial mobilization deposit specified in the approved quote.
- Invoices are payable via approved commercial payment rails (including bank wire or secure Paystack card/mobile money transfer).
- Invoices are due within the net term designated on each invoice. Unpaid balances past thirty (30) days may result in a temporary suspension of staging server deployments or active sprints.
3. Intellectual Property Rights
Upon full settlement of all project invoices and milestone fees, complete ownership, copyright, and title to all bespoke frontend code, backend services, custom graphic designs, and application databases created specifically for the client transfer unconditionally to the client.
Avox Labs retains all rights to its pre-existing proprietary developer tooling, boilerplate libraries, architectural patterns, and generalized open-source components developed independently of client briefs.
4. Confidentiality & Non-Disclosure
We treat all proprietary trade secrets, business concepts, unreleased product features, and customer databases shared during project discovery and engineering sprints as strictly confidential. Neither party shall disclose sensitive proprietary information to third parties without prior written consent.
5. Governing Law & Jurisdiction
These terms and any disputes arising out of or related to commercial services shall be governed by and construed in accordance with the laws of Kenya for Africa-region engagements, or the laws of the State of Delaware, United States, for North American and international engagements.
